Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the GarageDesk service provided by Garage Desk Ltd, a company registered in England and Wales (“GarageDesk”, “we”, “us”, or “our”). By signing up for or using GarageDesk, you (“you” or “the subscriber”) agree to these Terms.

1. The Service

GarageDesk is a WhatsApp inbound management platform for UK independent garages. The service includes an AI-powered WhatsApp receptionist, DVLA vehicle lookup, enquiry management dashboard, and related features as described at garagedesk.co.uk.

We reserve the right to update or change the features of the service from time to time. We will provide reasonable notice of material changes.

2. Subscription and Pricing

GarageDesk is offered on a monthly subscription basis at £150 per month per garage location, plus VAT where applicable.

Billing

Subscriptions are billed monthly in advance. Payment is taken on or around the same date each month from the payment method you provide at sign-up.

Rolling contract

Your subscription runs on a monthly rolling basis. There is no minimum term beyond the first month.

Cancellation

You may cancel your subscription at any time by giving 30 days' written notice to legal@garagedesk.co.uk. Your access will continue until the end of the notice period. No refunds are provided for partial months.

Free trial

We may offer a free trial period. No credit card is required to begin your free trial. At the end of the trial, you will need to provide payment details to continue using the service. We reserve the right to modify or discontinue free trial offers.

Price changes

We will give at least 30 days' notice of any price changes. Continuing to use the service after that date constitutes acceptance of the new price.

3. Acceptable Use

You agree to use GarageDesk only for lawful purposes and in accordance with these Terms. You must not:

  • Use the service to send unsolicited, misleading, or harassing messages
  • Impersonate any person or business, or misrepresent your identity
  • Use the service in a way that violates WhatsApp’s Business Policy or Twilio’s Acceptable Use Policy
  • Attempt to gain unauthorised access to our systems or another subscriber’s account
  • Use the service to process sensitive personal data (e.g. health data, financial data) beyond what is necessary for garage enquiry management
  • Resell or sub-license access to the GarageDesk platform without our written consent
  • Use the service in any way that could damage, disable, or impair our systems or infrastructure

We reserve the right to suspend or terminate your account immediately if we reasonably believe you are in breach of this section.

4. Data Protection and GDPR

4.1 Your role as data controller

When using GarageDesk, you (the garage) are the data controllerof your customers’ personal data. This means you are responsible for:

  • Having a lawful basis for processing your customers’ personal data via GarageDesk
  • Informing your customers (in your own privacy policy or notice) that their WhatsApp messages and vehicle data may be processed by GarageDesk on your behalf
  • Informing your customers that AI is used as part of the enquiry handling process
  • Responding to any data subject rights requests from your customers
  • Complying with all applicable UK data protection law

4.2 Our role as data processor

Garage Desk Ltd acts as your data processor for end-customer data. We process that data only on your documented instructions (i.e. to provide the GarageDesk service to you). Our full obligations are set out in the Data Processing Agreement, which is incorporated into these Terms by reference.

By agreeing to these Terms, you also agree to the Data Processing Agreement.

5. Sub-Processor Consent

By agreeing to these Terms, you provide general consent for GarageDesk to engage the following sub-processors to deliver the service:

We will notify you of any intended changes to our sub-processors (additions or replacements) by email at least 14 days before the change takes effect, giving you the opportunity to object.

6. Your Obligations to Your Customers

As part of your obligations as data controller, you must:

  • Maintain a publicly accessible privacy policy that explains your use of WhatsApp and AI tools for customer communications
  • Clearly inform customers that their enquiry will be handled initially by an AI assistant
  • Not use GarageDesk to contact individuals who have not expressed an interest in or consented to being contacted by your garage
  • Ensure your WhatsApp Business account complies with Meta’s and Twilio’s policies

7. Data Breach Notification

In the event of a personal data breach affecting end-customer data processed on your behalf, we will notify you within 24 hours of becoming aware of the breach. Our notification will include the information required under Article 28(3)(f) UK GDPR to enable you to fulfil your own obligations.

As the data controller, you are responsible for determining whether the breach must be notified to the ICO (within 72 hours of you becoming aware) and/or to affected data subjects. GarageDesk will cooperate with your investigation and provide all reasonable assistance.

8. Intellectual Property

GarageDesk and all associated software, designs, trademarks, and content are the intellectual property of Garage Desk Ltd. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable licence to use the service for the duration of your subscription.

You retain ownership of all data you input into GarageDesk, including your customers’ enquiry data. We do not use your customer data to train AI models.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability to you in connection with these Terms or the service (whether in contract, tort, or otherwise) is capped at three months’ subscription fees (i.e. £450 + VAT) paid by you in the 3 months preceding the event giving rise to the claim.
  • We are not liable for indirect, special, or consequential loss, including loss of profit, loss of data, or loss of business.
  • We are not responsible for the content of AI-generated responses, and you acknowledge that AI diagnoses are indicative only and should not replace professional mechanical judgement.
  • We are not liable for service interruptions caused by third-party sub-processors (e.g. Twilio downtime, WhatsApp outages).

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Warranties and Availability

We will use commercially reasonable efforts to make GarageDesk available and to provide the service with reasonable care and skill. However, we do not warrant that the service will be uninterrupted, error-free, or suitable for any particular purpose beyond that described.

The GarageDesk service depends on third-party infrastructure (WhatsApp, Twilio, Anthropic). We do not guarantee availability of these third-party services.

11. Termination

Either party may terminate these Terms on 30 days’ written notice. We may terminate or suspend your access immediately if:

  • You are in material breach of these Terms and (if capable of remedy) have not remedied the breach within 14 days of written notice
  • You fail to pay any amount due within 14 days of the due date
  • You become insolvent or enter administration or liquidation
  • We are required to do so by law or a regulator

On termination, we will delete your end-customer data within 30 days, subject to our data retention obligations. Sections 4, 9, 12, and 13 survive termination.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. General

  • Entire agreement: These Terms, together with the Data Processing Agreement and our Privacy Policy, constitute the entire agreement between us.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our rights.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor business.
  • Notices: Notices to us should be sent to legal@garagedesk.co.uk. We will contact you at the email address registered on your account.
